Terms and Conditions of Service

01 Definitions

For the purposes of these Terms and Conditions, the following terms have the meanings set out below:

02 Subject matter of the contract

These Terms and Conditions govern access to and use of the Strateego.ai Platform and the Services offered by Archibuzz S.r.l., as well as the online sale of subscriptions through the Website.

The online sale of the Services is governed by the provisions of the Italian Consumer Code (Legislative Decree No. 206/2005) and the Italian Electronic Commerce Code (Legislative Decree No. 70/2003).

Strateego.ai is a competitive intelligence platform that automatically collects, through technologies for scraping publicly accessible data, information relating to the digital presence of brands entered by the User, analyses such data with artificial intelligence systems and returns periodic reports, alerts and strategic analyses.

03 Plans, subscriptions and free trial

3.1 Free trial

Every new User who accesses the Platform for the first time is granted a free Trial period of 15 (fifteen) days with full access to the features of the Pro plan. The Trial starts from the moment of first effective access and no payment details are required.

Upon expiry of the Trial, the User may choose whether to activate a paid plan. If no activation takes place, the Account is suspended. User data is retained for 30 days from suspension.

3.2 Subscription plans

• Radar plan: basic monitoring, up to 3 competitors, 90-day history.
• Pro plan: full access, Intelligence AI, AI Advisor (100 messages/month), 180-day history, PDF/CSV export, up to 5 competitors.
• Strategy plan (coming soon): everything in the Pro plan plus communication project management, AI editorial plan, exportable strategic analysis, multi-level reporting.

3.3 Monthly and annual subscription

The subscription renews automatically upon expiry, unless cancellation is made by the day before renewal. In the event of cancellation, access to the Service is guaranteed until the natural expiry of the period already paid.

04 Registration and access

Strateego.ai uses a passwordless authentication system: upon each access, a one-time link (valid for 15 minutes) or an OTP code (valid for 5 minutes) is sent by email. No password is stored.

The User is responsible for the security of the email account used for authentication and undertakes to notify the Provider immediately of any unauthorised access.

05 Purchase procedure

By submitting the Order, the User declares that they have read and fully accept these Terms and the Privacy Policy. The contract is deemed concluded upon acceptance of the Order by the Provider, communicated by confirmation email.

06 Payment methods

Payment may be made by credit/debit card, Google Pay, Apple Pay, SEPA bank transfer (via Stripe) and PayPal. All transactions are protected by SSL encryption. The Provider does not store the User's credit card details.

07 Public data collection and competitor monitoring

7.1 Method of provision

For the provision of the Services, Strateego.ai collects and processes, on the input and instruction of the User, publicly accessible data relating to the brands, social profiles and URLs indicated by the User. Such collection takes place through automated querying techniques (including, by way of example, official APIs, web scraping and crawling).

7.2 User warranties

The User declares and warrants that: (i) the subjects and content subject to monitoring are selected in compliance with applicable law and do not infringe third-party rights; (ii) they have read and undertake to comply with the Terms of Service (ToS) and policies of the third-party platforms monitored (e.g. Google, Meta, LinkedIn), releasing the Provider from any obligation to verify the compatibility of monitoring activity with the aforesaid ToS; (iii) use of the data collected will take place exclusively for lawful purposes and in compliance with third parties' industrial and intellectual property rights.

7.3 Indemnity clause

7.4 Service limitations and interruption

The User acknowledges that access to third-party data depends exclusively on the policies and technical measures of the operators of such platforms. The Provider does not guarantee continuity of data collection where third-party operators implement blocking measures, modify their interfaces (API or web) or update their Terms of Service in a manner that precludes monitoring activity. In such cases, the Provider reserves the right to suspend or discontinue the monitoring Service towards specific platforms without this constituting contractual breach or giving rise to any right to refunds.

7.5 Protection of personal data

Where data collection activity includes personal data (within the meaning of EU Regulation 2016/679), the User acts as Data Controller with respect to the monitoring purposes chosen, guaranteeing the existence of an appropriate legal basis for processing the public data collected through the Software.

08 Artificial Intelligence, AI Advisor and data processing

8.1 AI systems used and transparency

The Platform integrates artificial intelligence technologies provided by AI Providers (currently OpenAI, LLC). The Provider operates as a deployer within the meaning of Regulation (EU) 2024/1183 (AI Act) and undertakes to ensure compliant, transparent and responsible use of such technologies.

8.2 Transfer of data to AI Providers and processing safeguards

8.2.1 Method of transmission

Content entered by the User in the AI Advisor (such as prompts, texts and datasets) is transmitted via API to third-party providers of artificial intelligence models (AI Providers, such as by way of example OpenAI) for processing. The User is aware that this technical process involves transfer of such data to servers located outside the European Economic Area (EEA), in particular in the United States of America, and by using the AI Advisor functionality authorises such data flow.

8.2.2 Safeguards for transfer (DPA and DPF)

The Provider ensures that transfer of data to AI Providers takes place in strict compliance with Regulation (EU) 2016/679 (GDPR). The data protection relationship between Strateego.ai and AI Providers is governed in full by the respective Data Processing Agreements (DPAs). Lawfulness of transfer to the United States is ensured by AI Providers' adherence to the EU-US Data Privacy Framework (European Commission adequacy decision) or, subsidiarily or for non-adhering entities, by execution of the current Standard Contractual Clauses (SCCs) approved by the European Commission. AI Providers' DPAs are made available to the User upon request.

8.2.3 Exclusion from model training (No Training)

In strict compliance with business API service policies and the DPAs in place with AI Providers (including OpenAI's DPA for use of its APIs), the Provider guarantees that User data transmitted to AI Providers via Strateego.ai APIs is used exclusively to deliver the requested output and is not in any way stored, reused or used by such AI Providers for training, improvement or fine-tuning of their foundational models.

8.3 Warning on use of the AI Advisor

8.4 Retention of conversations

AI Advisor conversations are retained by Archibuzz S.r.l. for the entire duration of the subscription in order to ensure continuity of the service. The User may request deletion of their conversations at any time by writing to info@strateego.ai.

8.5 Limitation of liability for AI Output

The User acknowledges and accepts that:

• AI Output is generated automatically and may contain inaccuracies, omissions or results unsuitable for the specific context.
• The Competitive Index is a proprietary indicative indicator: it does not constitute a certified metric and may not be used as evidence in legal, contractual or tender contexts.
• AI Output does not replace professional human judgment. The Provider does not guarantee complete accuracy of AI Output.
• The Provider cannot be held liable for business, strategic or commercial decisions adopted by the User on the basis of AI Output.
• The User is required to verify AI Output before use.

09 Beta features

The Provider may make Beta features available on an "as is" basis, without continuity guarantees. The Provider reserves the right to make them paid, modify them or remove them with reasonable notice.

10 Pricing and changes

Prices are exclusive of VAT unless otherwise indicated. Launch prices are valid until the expiry date indicated on the Pricing page. Those who subscribe during the promotional period retain the agreed price until expiry of the plan purchased.

The Provider reserves the right to change prices for new purchases with at least 30 (thirty) days' notice by email.

11 Withdrawal and refund

Consumer Users have the right to withdraw within 14 days of conclusion of the contract by sending notice to info@strateego.ai. Refund is made within 14 days using the same payment method.

The right of withdrawal does not apply where the User has already used the Services (e.g. has viewed a report or accessed the Platform), pursuant to Article 59(1)(o) of Legislative Decree 206/2005, having expressly requested immediate performance of the contract.

12 Intellectual property

All Platform content is the exclusive property of Archibuzz S.r.l. The User is prohibited from copying, decompiling or distributing any component of the Platform.

Reports and analyses generated for the User remain available to them for internal purposes; they may not be resold as a standalone service without written authorisation.

The Provider reserves the right to use Platform usage data in anonymous and aggregated form for Service improvement purposes. The User authorises the Provider to cite their name as a reference customer, unless revoked in writing.

13 Limitation of liability

• The Provider does not guarantee uninterrupted continuity of the Service.
• The Provider does not guarantee economic or commercial results arising from use of the Services.
• The Provider is not liable for unavailability of public data for reasons beyond its control.
• The Provider's maximum liability shall not exceed amounts paid by the User in the preceding 12 months.

14 Processing of personal data

Processing of the User's personal data is governed by the Privacy Policy available on the Website, drawn up in compliance with the GDPR (EU Regulation 2016/679) and Legislative Decree 196/2003.

Where Competitors' Public Data entered by the User includes information relating to identifiable natural persons, the User acts as an independent data controller within the meaning of the GDPR and is responsible for lawfulness of processing.

15 Changes to these Terms

The Provider reserves the right to amend these Terms with 10 (ten) days' notice communicated via notice on the Website and/or email. Continued use of the Service after that period constitutes acceptance of the new conditions.

16 Governing law and jurisdiction

These Terms are governed by Italian law. For Consumer Users, the court of the place of residence or domicile has jurisdiction. For Professionals and Businesses, the Court of Turin has jurisdiction.
