07 Collection of public data and competitor monitoring

7.1 Method of delivery

To deliver the Services, Strateego.ai collects and processes, upon the User's input and instruction, publicly accessible data relating to the brands, social profiles and URLs indicated by the User. Such collection is carried out through automated querying techniques (including, by way of example, official APIs, web scraping and crawling).

7.2 User warranties

The User represents and warrants: (i) that the entities and content subject to monitoring are selected in compliance with applicable law and do not infringe third-party rights; (ii) that they have read and undertake to comply with the Terms of Service (ToS) and policies of the third-party platforms monitored (e.g. Google, Meta, LinkedIn), relieving the Provider of any duty to verify the compatibility of the monitoring activity with the aforementioned ToS; (iii) that the collected data will be used exclusively for lawful purposes and in compliance with third parties' industrial and intellectual property rights.

7.3 Indemnity clause

Indemnity The User undertakes to indemnify and hold the Provider fully harmless from any damage, liability, cost (including legal fees), penalty or claim for compensation that may arise from third parties — including supervisory authorities and operators of third-party platforms — as a consequence of the collection and monitoring activity carried out on the User's instruction, or of a breach of the terms of use of those platforms.

7.4 Service limitations and interruption

The User acknowledges that access to third-party data depends exclusively on the policies and technical measures of the operators of such platforms. The Provider does not guarantee continuity of data collection if third-party operators implement blocking measures, modify their interfaces (API or web) or update their Terms of Service in a way that precludes monitoring. In such cases, the Provider reserves the right to suspend or interrupt the monitoring Service towards specific platforms without this constituting a contractual breach or giving rise to any right to refunds.

7.5 Protection of personal data

Where the data collection activity includes personal data (within the meaning of Regulation (EU) 2016/679), the User acts as Controller with respect to the chosen monitoring purposes, ensuring that an appropriate legal basis exists for the processing of public data collected through the Platform.

08 Artificial intelligence, Advisor AI and data processing

8.1 AI systems used and transparency

The Platform integrates artificial intelligence technologies provided by AI Providers (currently OpenAI, LLC). The Provider operates as a deployer under Regulation (EU) 2024/1183 (AI Act) and undertakes to ensure compliant, transparent and responsible use of such technologies.

8.2 Transfer of data to AI Providers and processing safeguards

8.2.1 Transmission methods

Content entered by the User in the Brand Profile, monitoring data and other Platform data used as context for generating AI Output are transmitted via API to third-party providers of artificial intelligence models (AI Providers, such as, by way of example, OpenAI) for processing. The User acknowledges that this technical process involves the transfer of such data to servers located outside the European Economic Area (EEA), specifically in the United States of America, and, by using the Platform's AI features, authorises such data flow.

8.2.2 Transfer safeguards (DPA and DPF)

The Provider guarantees that the transfer of data to AI Providers takes place in strict compliance with Regulation (EU) 2016/679 (GDPR). The data protection relationship between Strateego.ai and the AI Providers is fully governed by the respective Data Processing Agreements (DPAs). The lawfulness of the transfer to the United States is ensured by the AI Providers' adherence to the EU-US Data Privacy Framework (European Commission adequacy decision) or, alternatively or for non-adhering entities, by the conclusion of the applicable Standard Contractual Clauses (SCCs) approved by the European Commission. The AI Providers' DPAs are made available to the User upon request.

8.2.3 Exclusion from model training (No Training)

In strict compliance with the policies for business API services and with the DPAs in force with the AI Providers (including OpenAI's DPA for use of its APIs), the Provider guarantees that User data transmitted to AI Providers via Strateego.ai APIs are used exclusively to deliver the requested output and are in no way retained, reused or employed by such AI Providers for training, improving or fine-tuning their foundation models.

8.3 Brand Profile and prohibition on entering sensitive and confidential data

8.3.1 Function and use of the Brand Profile

The Brand Profile contains information partly generated by the Platform from public sources indicated by the User and partly entered or modified by the User. Brand Profile content is used by the Platform as context to personalise preset prompts, AI Output and suggestions provided to the User, and is transmitted to AI Providers within the limits of Article 8.2. If the User activates the MCP Integration, Brand Profile content is also made accessible to the Third-Party Assistant chosen by the User, as provided in Article 8.4. The Provider does not use Brand Profile content to train, optimise or fine-tune artificial intelligence models. Processing of content by Third-Party Assistants is governed by their own terms and privacy policy (Article 8.4.2).

8.3.2 Prohibited Data

WARNING: The User is expressly prohibited from entering in the Brand Profile, in particular in free-text fields, as well as in any other area of the Platform that feeds AI features, confidential information, trade secrets, third-party personal data, sensitive data or any other information subject to legal, contractual or regulatory confidentiality obligations, and in particular (the “Prohibited Data”):

a) special categories of personal data under Article 9 GDPR (e.g. health, racial or ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, genetic and biometric data, sex life or sexual orientation) and data relating to criminal convictions and offences under Article 10 GDPR;
b) personal data of identified or identifiable natural persons (e.g. customers, employees, candidates, business contacts), except solely data already publicly associated with the brand and strictly necessary;
c) data relating to minors;
d) confidential information or trade secrets, information covered by non-disclosure agreements or professional secrecy, non-public financial data and undisclosed strategies;
e) login credentials, API keys and payment data.

The Brand Profile must contain exclusively commercial and communication information that the User is willing to disclose or that is already public.

8.3.3 Liability

The Provider is not liable for the handling of confidential information and Prohibited Data that the User may enter in the Brand Profile or other areas of the Platform and that are transmitted to AI Providers or Third-Party Assistants. The User uses the Brand Profile under their own responsibility. The Provider does not carry out prior review of content entered by the User and does not assume, with respect to Prohibited Data, any obligation or the role of Processor under Article 28 GDPR. The User is solely responsible for entering Prohibited Data and, to the extent permitted by law, shall hold the Provider harmless from third-party claims or penalties arising therefrom. The Provider may, upon prior notice, remove Prohibited Data of which it becomes aware or suspend the affected features.

8.3.4 Removal

If the User enters Prohibited Data, they must remove them without delay and may request their deletion by writing to info@strateego.ai. The Provider shall do so within 5 (five) business days, subject to the technical deletion timescales at the AI Providers under the respective DPAs.

8.4 MCP Integration

8.4.1

The MCP Integration is activated, configured and revocable exclusively by the User. By activating it, the User authorises the transmission of Platform data and the Brand Profile to the Third-Party Assistant of their choice.

8.4.2

Processing of data by the Third-Party Assistant is governed by that assistant's terms and privacy policy, with which the User enters into an independent relationship and in respect of which the Provider is neither a party nor liable. The User must verify and configure the Third-Party Assistant's settings (e.g. data retention and use for training) in line with their own company policies.

8.4.3

The prohibition under Article 8.3.2 also applies to data transmitted through the MCP Integration. The Provider may suspend the MCP Integration for security reasons or in the event of a breach of these Terms.

8.5 Retention of content

The Brand Profile and AI Output are retained by Archibuzz S.r.l. for the entire duration of the subscription in order to ensure continuity of service. The User may request deletion of their content at any time by writing to info@strateego.ai.

8.6 Limitation of liability for AI Output

The User acknowledges and accepts that:

  • AI Output is generated automatically and may contain inaccuracies, omissions or results that are not appropriate to the specific context.
  • The Competitive Index is a proprietary indicative indicator: it does not constitute a certified metric and may not be used as evidence in legal, contractual or tender contexts.
  • AI Output does not replace human professional judgement. The Provider does not guarantee the complete accuracy of AI Output.
  • The Provider cannot be held liable for business, strategic or commercial decisions taken by the User on the basis of AI Output.
  • The User must verify AI Output before use.
  • Content generated by Third-Party Assistants does not constitute AI Output of the Provider; the User is responsible for verifying it before use.

09 Beta features

The Provider may make Beta features available on an as-is basis, without any guarantee of continuity. The Provider reserves the right to make them paid, modify them or remove them with reasonable notice.

10 Pricing and changes

Prices are exclusive of VAT, unless otherwise stated. Launch prices remain valid until the expiry date indicated on the Pricing page. Anyone who subscribes during the promotional period keeps the agreed price until the expiry of the purchased plan. The Provider reserves the right to change prices for new purchases with at least 30 (thirty) days' notice by email.

11 Withdrawal and refund

The Contract is concluded by the User in the exercise of their entrepreneurial or professional activity; therefore the right of withdrawal provided for by the Italian Consumer Code does not apply. The User may cancel the subscription as provided in Article 3.3, with the consequences set out therein.

12 Intellectual property

All Platform content is the exclusive property of Archibuzz S.r.l. The User is prohibited from copying, decompiling or distributing any component of the Platform. Reports and analyses generated for the User remain available to them for internal purposes; they may not be resold as a standalone service without written authorisation.

The Provider reserves the right to use Platform usage data in anonymous and aggregated form for the purpose of improving the Services. The User authorises the Provider to cite their name as a reference customer, unless revoked in writing.

13 Limitation of liability

  • The Provider does not guarantee uninterrupted continuity of the Service.
  • The Provider does not guarantee economic or commercial results arising from use of the Services.
  • The Provider is not liable for the unavailability of public data for reasons beyond its control.
  • The Provider's maximum liability shall not exceed the amounts paid by the User in the last 12 months.

14 Processing of personal data

Processing of the User's personal data is governed by the Privacy Policy available on the Website, drafted in accordance with the GDPR (Regulation (EU) 2016/679) and Legislative Decree 196/2003.

Where Public Competitor Data entered by the User includes information relating to identifiable natural persons, the User acts as an independent controller under the GDPR and is responsible for the lawfulness of the processing.

In any event, the User is responsible for complying with personal data protection principles and for safeguarding data subjects' rights in relation to processing carried out by them through the Platform, including processing relating to content entered in the Brand Profile.

15 Changes to these Terms

The Provider reserves the right to amend these Terms with 10 (ten) days' notice given via a notice on the Website and/or by email. Continued use of the Service after that period constitutes acceptance of the new terms.

16 Governing law and jurisdiction

Before resorting to legal proceedings, the Parties undertake to meet in good faith to attempt an amicable settlement of the dispute. These Terms are governed by Italian law. For any dispute relating to the Contract, the Court of Turin shall have exclusive jurisdiction.
